TERMS AND CONDITIONS OF USE

The platform www.stationeryvenue.com and its corresponding mobile application (collectively, “Stationery Venue”), is owned, managed and operated by Warranty N Support Internet Private Limited, a company incorporated under the Companies Act, 2013 with its registered office at D-53, 1st Floor, Vibhuti Khand Gomti Nagar, Lucknow – 226010, Uttar Pradesh, India (“we”, “us” or “our”). Any natural or legal person who accesses and/or uses Stationery Venue in any manner (“you” or “your”) or uses any current or future service or functionality or offer made available on Stationery Venue (“Service”) will be subject to these terms and conditions for use of Stationery Venue (“Terms of Use”), as updated from time to time and such terms, guidelines and conditions as may be applicable to such Service (“Service Terms”). If these Terms of Use are inconsistent with such Service Terms, the Service Terms will control to the extent of such inconsistency with respect to the applicable Service.

For terms and conditions specifically applicable to orders, payments, deliveries, cancellations, returns, refunds, and product-related obligations, please refer to our Terms of Sale, available separately on Stationery Venue. These Terms of Use continue to apply to all users of the platform.

Your use of the Platform and services and tools are governed by the following terms and conditions (“Terms of Use”) as applicable to the Platform including the applicable policies which are incorporated herein by way of reference. If you transact on the Platform, you shall be subject to the policies that are applicable to the Platform for such transaction. By mere use of the Platform, you shall be contracting with Warranty N Support Internet Private Limited and these terms and conditions including the policies constitute your binding obligations, with Stationery Venue.

These Terms of Use constitute an electronic record within the meaning of the applicable law. This electronic record is generated by a computer system and does not require any physical or digital signatures. Please read these Terms of Use carefully before using or accessing Stationery Venue or availing any Service. By using the Stationery Venue or availing any Service, you signify your agreement to be bound by these Terms of Use.

1. USE OF STATIONERY VENUE
You agree and acknowledge that Stationery Venue is an online platform that enables users to browse, access services, and purchase products listed on Stationery Venue at the indicated price at any time from the serviceable locations.

ELIGIBILITY
2. Only persons who can enter into legally binding contracts as per Indian Contract Act, 1872, i.e. persons who are 18 years of age or older, are of sound mind, and are not disqualified from entering into contracts by any law, can use and access Stationery Venue. If you are a minor i.e. under the age of 18 years, you may use Stationery Venue only with the involvement of a parent or guardian.

3. REGISTRATION AND OPERATION OF YOUR ACCOUNT
3.1. In order to use Stationery Venue and avail the Services, you will have to register on Stationery Venue. Registration is a one-time process and is free of cost. You may register in one of the following ways:

3.1.1. By creating a Stationery Venue account: You can register by providing relevant information, such as your name and other relevant details for creating an account. Your login ID and password will be created basis the information provided by you, which you can use to access your Stationery Venue account at any time.

3.1.2. By using a third-party account: You may use the login credentials from any third-party accounts maintained by you, as identified by Warranty N Support Internet Private Limited (for example, Google or Facebook). If you use such third-party account, you will also be subject to specific terms and conditions applicable to such account, as may be imposed by the relevant third-party.

Your credentials shared by you at the time of registration and your Stationery Venue login ID and password are referred to as “Account Information”.

3.2. You are solely authorized to operate the account created by you. Consequently, it is your responsibility to maintain the confidentiality of the Account Information and for restricting access to your computer/mobile/other similar devices to prevent unauthorized access to your account. You will at all times keep your Account Information current and accurate. You can access and update much of the Account Information you provided us with in the ‘My Account’ area of the website.

3.3. You will: (a) immediately inform Warranty N Support Internet Private Limited of any unauthorized use of the account or any other security breach; and (b) ensure that you log out of your account at the end of each session. Warranty N Support Internet Private Limited will not be liable for any loss or direct or indirect damage arising from your failure to comply with these Terms of Use. You may be held liable for any losses incurred to Warranty N Support Internet Private Limited or any other user due to unauthorized use of their account, resulting from your failure to keep your Account Information safe, secure and confidential. We reserve the right to refuse access to Stationery Venue, restrict placement of new orders, cancel pending orders, deactivate, or suspend your account on Stationery Venue, without any notice to you, at our sole discretion, for reasons which may include: (a) breach of these Terms and Conditions, Privacy Policies or any other applicable policy; or (b) violation of any applicable laws; or (c) suspicion of your involvement in any inappropriate or unlawful conduct; or (d) suspicion of your involvement in placing fake orders, frequent cancellations, returns, or abuse of any policy; or (e) directly or indirectly threaten to or cause harm to the brand image of Stationery Venue on a public forum (including but not limited to social media, print or electronic media); or (f) causing harassment to Stationery Venue and / or its employees / or its agents.

4. COMMUNICATION AND UNSUBSCRIPTION
4.1. You understand that once you have shared your Account Information and successfully registered on Stationery Venue, you may receive SMS or email notifications from Warranty N Support Internet Private Limited relating to your registration and transactions on Stationery Venue.

4.2. You may also receive such notifications regarding any marketing / promotional activities that maybe available on Stationery Venue from time to time. By sharing your Account Information and registering on Stationery Venue and/ or verifying your contact number with us, you explicitly consent to receive marketing/ promotional communications (through call, SMS, email or other digital and electronic means) from us and/or our authorized representatives regarding any new services or offerings, even if your contact number is registered under the DND/NCPR list under the Telecom Commercial Communications Customer Preference Regulations, 2018.

4.3. Warranty N Support Internet Private Limited may also send notifications and reminders with respect to the Services on Stationery Venue. While Warranty N Support Internet Private Limited endeavours to provide these notifications and reminders to you promptly, Warranty N Support Internet Private Limited does not provide any guarantee and will not be held liable or responsible for any failure to send such notifications/reminders to you.

4.4. You can unsubscribe / opt-out from receiving marketing/ promotional communications, newsletters and other notifications from Warranty N Support Internet Private Limited at any time by following the instructions set out in such communications.

5. LICENSE AND ACCESS TO PLATFORM
5.1. Your use of Stationery Venue, the Services, and access to the Stationery Venue Content (as defined below) is subject to a limited, revocable and non-exclusive license which is granted to you when you register on Stationery Venue. You will use Stationery Venue solely for lawful access, browsing, account management, and availing services offered on the Platform, in accordance with these Terms of Use and other applicable policies.

5.2. The license granted to you does not include a license for: (a) resale of Products or commercial use of Stationery Venue or Stationery Venue Content, (b) any collection and use of product listings, description, or prices, (c) any use of Stationery Venue, the Services and/or of Stationery Venue Content other than as contemplated in these Terms of Use, (d) any downloading or copying of Account Information, (e) any use of data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) any parts of Stationery Venue, (f) creating and/ or publishing your own database that features parts of Stationery Venue.

5.3. You grant to Warranty N Support Internet Private Limited a royalty-free, perpetual, irrevocable, non-exclusive right and license to adopt, publish, reproduce, disseminate, transmit, distribute, copy, use, create derivative works from, display worldwide, or act on any material posted by you on Stationery Venue without additional approval or consideration in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content, and you waive any claim over all feedback, comments, ideas or suggestions or any other content provided through or on Stationery Venue. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Warranty N Support Internet Private Limited, including the execution of deeds and documents, at its request.

Please note that Warranty N Support Internet Private Limited at all times reserves the right to refuse your access to Stationery Venue, terminate/deactivate your account, remove or edit content on Stationery Venue, at its discretion.

6. PERSONAL INFORMATION PRIVACY
6.1. During the course of your registration on and usage of Stationery Venue or availing the Services, Warranty N Support Internet Private Limited may collect and store and/or you may provide us with, personal identifiable and sensitive information about you, including without limitation your name, phone number, email address, address, postal code, occupation, login details etc.

6.2. Warranty N Support Internet Private Limited respects the sensitivity of the information about you and we appreciate your trust in us. In this regard, Warranty N Support Internet Private Limited has formulated the Privacy Policy, which shall be deemed to be included in these Terms of Use, setting out the manner in which your information is collected, stored, processed, used and disclosed. If you object terms of our Privacy Policy, please do not use or access Stationery Venue or avail the Services. For more information, please refer to the Privacy Policy.

7. CONTENT ON PLATFORM
7.1. All information, content, material, text, graphics, images, logos, button icons, software code, interface, design and the collection, arrangement and assembly of the content on Stationery Venue or any of the other Services are the property of Warranty N Support Internet Private Limited or its affiliates (“Stationery Venue Content”), and are protected under copyright, trademark and other applicable laws. Further, all trademarks, services marks, trade names and trade secrets in relation to Stationery Venue whether or not displayed on Stationery Venue, are proprietary to Warranty N Support Internet Private Limited.

7.2. Warranty N Support Internet Private Limited may display on Stationery Venue any third-party logos, trade names, trademarks of other brands, as per the license granted to Warranty N Support Internet Private Limited by such brands.

7.3. No information, content or material from Stationery Venue (including the Stationery Venue Content) may be copied, reproduced, republished, duplicated, copied, sold, resold, uploaded, posted, transmitted, distributed or otherwise exploited in any way (including for any commercial purpose) without Warranty N Support Internet Private Limited’s express written permission. You will not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Warranty N Support Internet Private Limited and its affiliates without express written consent. You may not use any meta tags or any other “hidden text” utilizing Warranty N Support Internet Private Limited’s or its affiliates’ names or trademarks without the express written consent of Warranty N Support Internet Private Limited and/or its affiliates, as applicable. Any unauthorized use terminates the permissions granted in these Terms of Use.

8. GST
The provisions below apply only where a purchase is made on the Platform and are subject to the Terms of Sale.

8.1 Upon your purchase of product(s) eligible for business purchases, you may be able to avail the benefits of GST input tax credit. Accordingly, at your request, an invoice containing the GSTIN as provided by You (“Tax Invoice”) shall be issued to You by the Warranty N Support Internet Private Limited selling such products.

8.2 GST invoice will have, inter alia, the following details printed on it:
(a) GSTIN associated with your registered business, as provided by you; and
(b) Entity name of your registered business, as provided by you.

8.3 Not all products are eligible for business purchases on the platform and the same is solely at the discretion of Warranty N Support Internet Private Limited.

8.4 For seamless availment of input tax credit, kindly mention the delivery address as the address which is mentioned as the registered place of business as per the records of GST authority. Please note that availment of input tax credit is subject to provisions of GST Act and rules.

8.5 The delivery and billing addresses will be required to be the same, please note that input tax credit will be denied by GST authority if the delivery address and GSTIN in the GST invoice are of different states.

8.6 If GSTIN and/or business entity details are not provided by You, it will be presumed that it is a personal purchase and not a business purchase.

8.7 Warranty N Support Internet Private Limited is not responsible to verify the correctness of the GSTIN and/or entity name provided by You and You shall be entirely responsible to provide the accurate details.

8.8 Warranty N Support Internet Private Limited shall not entertain any request for any revision in the GST Invoice. Warranty N Support Internet Private Limited shall not be liable for Your default including for reasons associated with details provided by You.

8.9 Warranty N Support Internet Private Limited will not be liable in case You are not able to avail input tax credit or if input tax credit is denied to You for any reason whatsoever.

8.10 You shall be solely liable for all compliances required under applicable laws.

8.11 You agree to indemnify and hold Warranty N Support Internet Private Limited harmless from all losses, claims, costs, expenses, suits, proceedings, or any other liability including any third-party claims (including any penalties imposed by governmental authorities) arising out of or in connection with (1) the GSTIN and/or entity name provided by you or the input tax credit claimed by you or your use or misuse of the GST Invoice and (2) your non-compliance with the applicable laws or (3) your use or misuse of any third-party’s details including GSTIN.

8.12 Warranty N Support Internet Private Limited has the right to not allow business purchases on the Platform to you if a fraudulent activity is identified.

8.13 Warranty N Support Internet Private Limited reserves the right to not issue Tax Invoice or issue a credit note against an already issued Tax Invoice to cancel the transaction, if any fraudulent activity is identified.

9. DISCLAIMERS
9.1. Warranty N Support Internet Private Limited will try to make access to and use of Stationery Venue error-free and without interruptions. However, your access to Stationery Venue may be occasionally suspended or restricted to allow for repairs, maintenance, or for introduction of new facilities or services on Stationery Venue. Warranty N Support Internet Private Limited does not take responsibility for any access or usage problems that arise from internet related issues at your end.

9.2. All information in relation to third parties, including sellers and the products listed by them on Stationery Venue (“Third Party Information”) are provided only for reference. Warranty N Support Internet Private Limited, in its capacity of a company under the applicable laws, is not endorsing Third Party Information and is not responsible for any errors and representation nor is it associated with it and you shall access the Third-Party Information at your own risk.

9.3. Stationery Venue may contain user generated content which Warranty N Support Internet Private Limited does not pre-screen and which contains views that may be opinions of users/ experts. Warranty N Support Internet Private Limited will do its best to monitor, edit or remove such user generated content where it is necessary to do so (for instance, if such content violates these Terms of Use). Warranty N Support Internet Private Limited does not promise that the user generated content on Stationery Venue is accurate, complete or updated, that it will not offend or upset any person or that it does not infringe the intellectual property rights of third parties.

9.4. To help you in identifying the products of your choice, description of the products is provided on Stationery Venue by the relevant seller through photographs, videos, charts, screenshots, infographics and other visual aids. While reasonable efforts are made to provide accurate visual representations, the appearance/colour of the products when delivered may differ for various reasons.

9.5. The Services included on Stationery Venue are provided on an “as is” and “as available” basis without any representations or warranties, express or implied, except as otherwise specified in writing. Warranty N Support Internet Private Limited does not covenant or provide any representations and warranties:

9.5.1. in respect of quality, suitability, accuracy, reliability, performance, safety, merchantability, fitness for a particular purpose/consumption or the content (including product or pricing information and/or specifications) on Stationery Venue;

9.5.2. that the Services will be made available at all times;

9.5.3. that the operation of Stationery Venue, including the functions contained in any content, information and materials on Stationery Venue or any third-party sites or services linked to Stationery Venue will be uninterrupted, or that the defects will be rectified, or that Stationery Venue or the servers that make such content, information and materials available are free of viruses or other harmful components; and

9.5.4. that the Stationery Venue Content available on Stationery Venue is complete, true, accurate or non-misleading.

9.6. Parties other than Warranty N Support Internet Private Limited and its affiliates may operate stores, provide services, or list or sell product lines on Stationery Venue. We are not responsible for examining or evaluating, and we do not warrant or endorse the offerings of any of these businesses or individuals, or the content made available by them. Warranty N Support Internet Private Limited does not assume any responsibility or liability for the actions, products, and content of any of these and any other third-parties. The information displayed on Stationery Venue is for informational purpose only, and does not amount to or be deemed to be an endorsement of any product or service under any circumstances.

9.7. To the extent permitted by applicable law, Warranty N Support Internet Private Limited disclaims any liability against any loss, damage, expenses, liabilities, claim, injury caused due to the failure of performance, omission, defect of products (to the extent permitted under applicable law), or deletion, interruption, error, delay, virus, communication, unauthorized access, theft, destruction, alteration or use of records on Stationery Venue.

9.8. Warranty N Support Internet Private Limited is not responsible for the content of any third-party sites and does not make any representations regarding the content or accuracy of material on such sites. If you decide to access links of any third-party platforms, you are doing so entirely at your own risk and expense.

10. CHARGES
Warranty N Support Internet Private Limited may charge a nominal fee for certain optional services on the Stationery Venue. Warranty N Support Internet Private Limited reserves the right to change its Fee Policy from time to time. In particular, Warranty N Support Internet Private Limited may at its sole discretion introduce new services/fees and modify some or all of the existing services/fees offered on the platform. In such an event, Warranty N Support Internet Private Limited reserves the right to introduce fees for the new services offered or amend/introduce fees for existing/new services, as the case may be. Changes to the Fee Policy shall be posted on the platform and such changes shall automatically become effective immediately after they are posted on the platform. Unless otherwise stated, all fees shall be quoted in Indian Rupees. You shall be solely responsible for compliance of all applicable laws including those in India for making payments to Warranty N Support Internet Private Limited.

11. COMPLIANCE WITH LAWS
As required by applicable income-tax laws, if the Customer makes a purchase of an amount equal to or above INR 2,00,000.00/- the Customer will be required to upload a scanned copy of his/her PAN card on Stationery Venue platform, within 4 days of making the purchase, failing which, the purchase made by the Customer will be cancelled. The requirement to submit the PAN card arises only once and if it has been submitted already by the Customer, it need not be submitted again. The order of the Customer shall stand cancelled if there is a discrepancy between the name of the Customer and the name on the PAN Card.

12. CLAIMS AGAINST OBJECTIONABLE CONTENT
You can refer to the product detail page on Stationery Venue for checking any product details provided by the seller regarding the following:

12.1. the total price in single figure of any good or service, along with the breakup price for the good or service, showing all the compulsory and voluntary charges such as delivery charges, postage and handling charges, conveyance charges, platform fees and the applicable tax, as applicable. These details are available on the invoice issued to you, accessible from your account dashboard.

12.2. mandatory notices and information provided by applicable laws, and the expiry date of the good being offered for sale, where applicable.

12.3. goods and services offered for sale by Stationery Venue including country of origin which are necessary for enabling the consumer to make an informed decision at the pre-purchase stage.

12.4. importer and the guarantees related to the authenticity or genuineness of the imported products; and

12.5 guarantees or warranties applicable to such goods or services.

Further, all contractual information required to be disclosed by law is incorporated. Because Stationery Venue lists a large number of products for sale on the website and hosts many thousands of comments, it is not possible for us to be aware of the contents of each product listed for sale, or each comment or review that is displayed. Accordingly, Stationery Venue operates on a “notice and takedown” basis.

If you believe that any content on the website is illegal, offensive, deceptive, misleading, abusive, indecent, insulting or harassing, blasphemous, defamatory, libelous, obscene, pornographic, pedophilic or menacing; racially or ethnically objectionable, or disparaging; in breach of copyright, trademark, patent, confidentiality, privacy or any other proprietary information or right; or otherwise injurious to third parties or relates to or promotes money laundering or gambling, or promotes enmity between different groups on the grounds of religion or caste with the intent to incite violence; or is harmful to minors in any way, or impersonates another person; or threatens the unity, integrity, defense, security or sovereignty of India or friendly relations with foreign States or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting other nation; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource, political campaigning, commercial solicitation, chain letters, mass mailings or any spam; or deceives or misleads the addressee about the origin of messages (“Objectionable Content”), please notify us immediately by following our Notice and Procedure for Making Claims of Right Infringements. Once this procedure has been followed, Stationery Venue will make all reasonable endeavours to remove such Objectionable Content within a reasonable time.

13. USER WARRANTIES AND RESTRICTIONS
13.1. You represent and warrant that: (a) your use of Stationery Venue and/or Services will not violate any applicable law or regulation; (b) all information that is submitted to Warranty N Support Internet Private Limited in connection with Stationery Venue and/or Services is true, accurate and lawful; (c) use of the content and material you supply does not breach any applicable Stationery Venue policies or guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory). If at any time, the information provided by you is found to be false or inaccurate, Warranty N Support Internet Private Limited will have the right to reject registration, cancel all orders, and restrict you from using the Services and other affiliated services in the future without any prior intimation whatsoever. You agree to indemnify Warranty N Support Internet Private Limited and its affiliates for all claims brought by a third party against it or its affiliates arising out of or in connection with a breach of any of these warranties.

13.2. You will use Stationery Venue for lawful purposes only, and will not undertake any activity that is harmful to Stationery Venue or its content or otherwise not envisaged through Stationery Venue. You have a limited license to access and use Stationery Venue, solely for the purpose of availing the Services, subject to these Terms of Use.

13.3. The use of the Platform by you is restricted to personal use only, and you will not use any portion of Stationery Venue (including the contents on the Platform) or Services for any resale or commercial purpose.

13.4. You will not do any of the following:

13.4.1. Delete or modify any content on Stationery Venue, such as any information regarding the Services, their performance, sales or pricing;

13.4.2. Use any engine, software, tool, agent or other mechanism (such as spiders, robots, avatars, worms, time bombs etc.) to navigate or search Stationery Venue;

13.4.3. Make false or malicious statements against the Services, Stationery Venue or Warranty N Support Internet Private Limited;

13.4.4. Post, copy, submit, upload, distribute, or otherwise transmit or make available any software or other computer files that contain a virus or other harmful component, or otherwise disrupt or damage Stationery Venue and/or Services or any connected network, or otherwise interfere with any person or entity’s use or enjoyment of Stationery Venue and/or the Services;

13.4.5. Introduce any trojans, viruses, any other malicious software, any bots or scrape Stationery Venue for any information;

13.4.6. Probe, scan, or test the vulnerability of any system, security or authentication measures implemented by us or otherwise tamper or attempt to tamper with our technological design and architecture;

13.4.7. Hack into or introduce malicious software of any kind onto Stationery Venue;

13.4.8. Gain unauthorized access to, or interfere with, or damage, or disrupt the server on which the details connected to the Services are stored, or any other server, computer, or database connected to the Services; or

13.4.9. Engage in any form of antisocial, disruptive, or destructive acts, including “flaming,” “spamming,” “flooding,” “trolling,” “phishing” and “griefing” as those terms are commonly understood and used on the internet.

13.5. You are prohibited from hosting, displaying, uploading, modifying, publishing, transmitting, updating or sharing on or through Stationery Venue, any information that:

13.5.1. belongs to another person and to which You do not have any right;

13.5.2. is harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, invasive of another’s privacy, hateful, relating to or encouraging money laundering or gambling, or otherwise harmful in any manner whatsoever;

13.5.3. harms minors in any way;

13.5.4. infringes any patent, trademark, copyright or other proprietary rights;

13.5.5. violates any law for the time being in force;

13.5.6. deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

13.5.7. impersonates or defames another person; or

13.5.8. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;

13.5.9. for fraudulent purposes, or in connection with a criminal offense or other unlawful activity;

13.5.10. to send, use or reuse any material that constitutes Objectionable Content (as defined in Section 12); or

13.5.11. to deceive or mislead the addressee about the origin of messages.

14. REVIEWS, COMMENTS, COMMUNICATIONS AND OTHER CONTENT
Users of this website may post reviews, comments and other content; send communications; and submit suggestions, ideas, comments, questions, or other information, as long as the content does not constitute Objectionable Content (as defined in Section 12). In the event a user fails to comply with the above, Stationery Venue reserves the right (but not the obligation) to remove, refuse, delete or edit any content that in the sole judgement of Stationery Venue violates these Terms of Use and, or terminate your permission to access or use this website.

14.1 If you do post content or submit material, and unless we indicate otherwise, you:

14.1.1 grant Warranty N Support Internet Private Limited and its affiliates a non-exclusive, royalty-free, irrevocable, perpetual and fully sublicensable rights to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media; and

14.1.2 grant Warranty N Support Internet Private Limited and its affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose.

You agree that the rights you grant above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. You agree to waive your right to be identified as the author of such content and your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Warranty N Support Internet Private Limited, including the execution of deeds and documents, at its request.

You represent and warrant that you own or otherwise control all of the rights to the content that you post or that you otherwise provide on or through the website; that, as at the date that the content or material is submitted to Stationery Venue: (i) the content and material is accurate; (ii) use of the content and material you supply does not breach any applicable Stationery Venue policies or guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory); (iii) the content is lawful. You agree to indemnify Warranty N Support Internet Private Limited and its affiliates for all claims brought by a third party against it or its affiliates arising out of or in connection with a breach of any of these warranties.

15. LOSSES
